This End User License Agreement (“EULA”) governs your use of the ceeq.it Software as a Service (“Service”). By accessing or using the Service, you acknowledge that you have read, understand, and agree to be bound by the terms of this EULA. If you do not agree to these terms, you may not use the Service.

Subject to your compliance with this EULA, ceeq.it grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly for your internal business or personal purposes. No other rights or licenses are granted, either express or implied.

You agree not to misuse the Service. In particular, you shall not:

• License, sublicense, sell, resell, rent, lease, or otherwise commercially exploit the Service beyond its permitted use.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to store or transmit any unlawful, infringing, defamatory, or otherwise harmful or objectionable content.
• Use the Service in environments where failure of the Service could lead to death or personal injury, including but not limited to medical, life-support, or nuclear facilities.
• Modify, adapt, or hack the Service to falsely imply any association with ceeq.it or any other entity.

Prohibited High-Risk Use: You shall not use the Service in any scenario that could result in physical or mental harm to individuals, including (but not limited to) life support systems, military applications, or nuclear facilities.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. ceeq.it makes no representations or warranties of any kind, express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free, nor that it will meet your requirements or expectations.

To the maximum extent permitted by law, in no event shall ceeq.it be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any unauthorized access to or alteration of your data; or (c) any other matter related to the Service.

We reserve the right to suspend, discontinue, or terminate the Service at any time, with or without notice, and for any reason or no reason at all. We are under no obligation to justify or provide a rationale for such termination. Upon termination, any rights granted to you under this EULA shall immediately cease, and you shall have no recourse against ceeq.it for such termination.

If any provision of this EULA is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

This EULA constitutes the entire agreement between you and ceeq.it regarding the subject matter herein and supersedes all prior agreements, understandings, or representations. Any modifications to this EULA must be made in writing and signed by an authorized representative of ceeq.it.
